Terms of Use

Before subscribing to Intellibook (the "Service"), you must read and agree to these Terms of Use. These terms are binding on use of the Service and you agree that is enforceable as if it were a written negotiated agreement signed by Logic Software and You .

In this agreement, the "Service" includes:

  1. All updates, upgrades, bug fixes, modifications and enhancements to the Service that Logic Software may make available to You (if any) ("Updates"); and
  2. All documentation relating to the Service that Logic Software may make available to You (if any).

Logic Software may modify these Terms of Use at any time, effective upon the posting of modified terms and Logic Software will endeavour to communicate these changes to You via email or notification via the Service. You can review the most current version of the Terms of Use at any at http://intellibook.co/terms.

The Service is a web-based online booking and registration application from Logic Software. Your use of the Service is at your sole risk. The Service is provided on an AS IS and AS AVAILABLE basis. You understand that your content may be transferred unencrypted across the internet.

Eligibility.

You must be at least thirteen (13) years of age to use this Service. You must provide your current, accurate identification, contact, and other information that may be required as part of the registration process and/or continued use of the Service. You are responsible for maintaining the confidentiality of your password and account for the Service, and are responsible for all activities that occur thereunder. Logic Software reserves the right to refuse service to anyone at any time without notice for any reason.

Proper Use.

You agree that you will use the Service in compliance with all applicable local, state, national, and international laws, rules and regulations, including any laws regarding the transmission of technical data exported from your country of residence. You shall not, shall not agree to, and shall not authorize or encourage any third party to:

use the Service to upload, transmit or otherwise distribute any content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, contains viruses, or is otherwise objectionable as reasonably determined by Logic Software; use the Service for any fraudulent or inappropriate purpose; resell, duplicate, reproduce or exploit any part of the Service without the express written permission of Logic Software; use any robot, spider, other automated device, or manual process to monitor or copy any content from the Service.

Violation of any of the foregoing may result in immediate termination of this Agreement, and may subject you to state and federal penalties and other legal consequences.

Payment Terms.

Monthly Terms: A valid credit card is required for you to continue using the Service after the 14-day free trial period on a month-to-month basis. The free trial offer entitles new, registered users to a one-time free trial usage of the Services. The service is billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade accounts, or for months unused with an open account.

Yearly Terms: The free trial offer entitles new, registered users to a one-time free trial usage of the Services. Payment via check is required to continue using the Service after the 30-day trial period. The service is billed in advance on a yearly basis. Refunds for deleted accounts may be requested for unused months of the service between the date of account removal and the final service date noted on the invoice issued by Logic Software.

All fees are exclusive of all taxes or duties imposed by governing authorities. You alone are responsible for payment of all such taxes or duties.

Modification to Fees and Services.

Logic Software reserves the right to modify, suspend, or discontinue the Service at any time for any reason with or without notice. Logic Software reserves the right to change Service fees upon 30 days' notice from us. Such notice may be given to You via email or notification via the Service itself.

Cancellation and Termination.

You are solely responsible for the proper cancellation of your account. You may cancel your account at any time by clicking on the Manage tab and then Account Settings. The company Account Settings page has a simple "Close account" button. An email or phone request to cancel your account is not considered cancellation. There will be no refund if you cancel the Service before the end of your current, paid-up month, and you will not be charged thereafter. There is no cancellation fee. Cancellation is immediate, and all of your Content will be immediately deleted from the Service upon cancellation. Logic Software may at any time and for any reason terminate the Services, terminate this Agreement, or suspend or terminate your account. In the event of termination, your account will be disabled and you may not be granted access to your account or any files or other content contained in your account although residual copies of information may remain in our system.

Intellectual Property Rights.

You acknowledge that there is no transfer of title or ownership to You of the Software.
You acknowledge and agree that all existing and future intellectual property rights in and relating to the Service are the sole property of Logic Software. Neither You, nor Your employees, agents or contractors, have or will obtain any title in, or ownership of, the Software under these Terms of Use.


The Service as modified or altered remains the property of Logic Software in all respects,

whether modified by You, Logic Software or a third party and whether or not authorised pursuant to these Terms of Use. Specifically, You shall if necessary assign Approval2 all intellectual property arising out of any modifications to the Software.

You shall execute such documents and perform such other acts as are necessary in order to give effect to the previous clause.

This clause "Intellectual Property Rights" shall survive the termination or expiry of these Terms of Use.

Each Party must not:

  1. use the name or any trademark, logo, business or company name of the other Party (whether with or without graphic or photographic or other visual material) without the prior written consent of the other Party;
  2. apply for or register any trademark, business or company name containing the name of the other party; or
  3. make any inaccurate claims of association with the other Party or any of its related entities.

Logic Software acknowledges and agrees that You own all information and data you provide to the Service or agents or Logic Software input into the Service on Your behalf.

API Terms

You may access your Service account data using the Service API (Application Programming Interface). Any use of the API, including use of the API through a third-party product that accesses the Service Site, is bound by these Terms of Service plus the following specific terms:

You expressly understand and agree that Logic Software shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Logic Software has been advised of the possibility of such damages), resulting from your use of the API or third-party products that access data via the API.

Abuse or excessively frequent requests to the Service Site via the API may result in the temporary or permanent suspension of your account’s access to the API. Logic Software, in its sole discretion, will determine abuse or excessive usage of the API. Logic Software will make a reasonable attempt via email to warn the account owner prior to suspension.

Logic Software reserves the right at any time to modify or discontinue, temporarily or permanently, your access to the API (or any part thereof) with or without notice.

Warranties and Liability.

Logic Software does not warrant that: (i) the Services will meet your requirements or expectations, (ii) the Service will be timely, uninterrupted or error-free or operate in combination with any other hardware, software, system or data, (iii) bugs or errors will be corrected, (iv) the mathematical calculations performed by the Service will be accurate. The Services are provided to you strictly on an "as is" basis. All conditions, representations and warranties, whether express, implied, statutory or otherwise, including, without limitation, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third party rights, are hereby disclaimed to the maximum extent permitted by applicable law. You expressly understand and agree that Logic Software shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Logic Software has been advised of the possibility of such damages), resulting from your usage of the Service.

Indemnification.

You agree that Logic Software and its suppliers, directors, employees and agents ("Related Parties") will not be liable to You, or any third party, for any:

  1. loss or damage to information or data from any cause;
  2. breach of security or privacy;
  3. loss of profit, opportunity or savings; or
  4. incidental, indirect special or consequential loss or damage.


In any event, if Logic Software or its Related Parties is liable to You for any reason, and that liability is not excluded by this Agreement, then the maximum aggregate liability of Logic Software and its Related Parties to You arising out of all claims for loss and/or damages for any cause will under no circumstances exceed $10,000.

The limitations and exclusions of liability in these Terms of Use shall apply however liability arises, whether in contract, tort (including negligence), breach of statutory duty or otherwise.

You shall at all times indemnify and hold harmless Logic Software and its Related Parties ("those indemnified") from and against any loss (including reasonable legal costs and expenses) or liability reasonably incurred or suffered by any of those indemnified arising from any proceedings against those indemnified where such loss or liability was caused by:

  1. A breach by You of Your obligations under these Terms of Use; or
  2. Any wilful, unlawful or negligent act or omission of You.

You shall not be liable to Logic Software for indirect or consequential damages.
